Association rules המרכז הישראלי למקהלות ולחבורות זמר נוסד בשנת 1999. הוא אושר כעמותה מס' 58-035-084/1 שנה לאחר מכן. נוסח תקנון שאושר ע"י אסיפת מליאה ב 30/12/11 תקנון העמותה של "מרכז הישראלי למקהלות ולחבורות זמר" ע.ר.58-035-084/1 1. שם העמותה המרכז הישראלי למקהלות ולחבורות זמר עמותה ללא מטרת רווחים. 2. כתובת העמותה דרך כפר הדר 33 הוד השרון 09-7880032 , פקס: 09-7880036 3. מטרות המטרות העיקריות של העמותה הן: העלאת הרמה המקצועית חבורות / מנצחים. חשיפה לקהלי יעד נרחבים בארץ ובחו"ל והגדלת מודעות לשירת המקהלה. יצירת שת"פ בחו"ל / מיקום מיל"ה בחו"ל. עידוד והפצת יצירות ועבודות מקוריות. הכרה ותמיכה ממוסדות שלטון. הרחבת פלח שוק צעיר. פרוט: פיתוח, קידום והעשרת הזמר הישראלי לכל גווניו. עיצוב מודעות כלל-ארצית למוסיקה הקולית לכל סוגיה. עידוד, פיתוח, העשרה והעשרה של פעילויות בתחומים של הרכבים קוליים לרמותיהם ולסוגיהם השונים. עידוד חילופי תרבות במישור הלאומי והבינלאומי כאחד, תוך פיתוח סובלנות ואהדה למסורות התרבותיות והאומנותיות של העמים, הדתות והעדות ברחבי הארץ והעולם. עידוד מלחינים ישראליים לכתיבה מקורית ולמקהלות ולחבורות זמר בכל רמותיהן (במגוון פרויקטים כמו יוזמות, תחרויות, מלגות, הזמנות, עיבודים ועוד). יצירת מגוון הזדמנויות לפעילויות ולמפגשים של גופים קוליים בכל רמות העשייה המקהלתית, החל במקהלות מקצועיות ועד להרכבים של חובבים, כולל מפגשים מעורבים לסוגיהם. הכשרה מקצועית בתחום הניצוח על מקהלות וחבורות זמר במוסדות המתאימים (אוניברסיטאות, אקדמיות, סמינרים ואחרים). קיום סדנאות, ימי עיון, קורסים, השתלמויות ומפגשים למנצחים ולמקהלות וחבורות זמר כאחד. קיום מחנות ומחנונים למגוון פעילויות ארציות ובינלאומיות בתחומי המקהלות וחבורות הזמר. מתן ביטוי לפעילויות המקהלתיות השונות בכל אמצעי התקשורת בישראל ובחו"ל וכן בדפוס בגוון אפשרויותיו. עיצוב מגוון של פעילויות לקירוב אוכלוסיית הארץ לאמנות השירה המקהלתית לסוגיה הרבים. כינון קשרים עם מנהלי כל הפסטיבלים והפרויקטים המוסיקליים בישראל ובחו"ל, כמו למשל, הזמרייה, שירת הימים, פסטיבלים בערד, בכפר בלום, באשדוד, בנצרת, באבו גוש, בסוזן דלל, הליטורגיה, חגיגות היין בראשל"צ, עם אמרגנים שונים ועוד. שילוב כל הגופים העוסקים בפעילויות בתחום הקולי, כולל אוניברסיטאות, אקדמיות, מכללות, גופים ציבוריים, תק"ם ואחרים. לעניין מירב גופים ציבוריים ממשלתיים, עסקיים ואחרים לקידום נושא המקהלות וחבורות הזמר בכל דרך או אמצעי שבידיהם. קיום מגוון פעילויות ארציות ובינלאומיות להעלאת רמת הפעילויות של המקהלות וחבורות הזמר לסוגיהן ולפיתוח אמנות השירה המקהלתית לסוגיה. עידוד הקמת מקהלות, חבורות זמר ושאר הרכבים קוליים. הקמת מרכזי מידע לאומיים ובינלאומיים בכל הנוגע למקהלות ולחבורות זמר. (כולל ספריות, חומרי לימוד, תווים, בנק ממוחשב של חומרים לסוגיהם ועוד) הוצאת מידע בצורת עיתון ומגוון צורות נוספות. הוצאת תווים והפצתם בארץ ובחו"ל. 4. סמכויות העמותה: ייזום מפגשי מקהלות , חבורות זמר ומנצחים לפעילויות שונות. הזמנת יצירות אצל מלחינים שונים. הוצאת תווים, מידע והקלטות בכל תחומי הזמרה לסוגיה. ייזום תחרויות ופסטיבלים ארציים ובינלאומיים בכל תחומי המוסיקה הקולית. רכישת ספרים, הקלטות, עיתונים, תווים, ציוד וכל חומר הקשור לפעילות העמותה. להתקשר, לחתום על מסמכים, חוזים, הסכמים, שטרות, שיקים וכל התחייבות אחרת בכל העניינים הקשורים והנוגעים לעמותה ולחבריה ולתת ערבויות ולמלא את כל התפקידים של אישיות משפטית בכל ענייני העמותה. לייצג את כל חברי העמותה ולהופיע ולפעול בשמם של חבריה בפני שלטונות הממשלה, רשויות מוניציפאליות, מוסדות וגופים אחרים כלשהם, ואישיות משפטית וכן לנהל בשם העמותה וחבריה משא ומתן על כל הנ"ל בארץ ובחו"ל. לקנות, למכור, לקבל, לשכור, לחכור או להחכיר, לרכוש או להשיג, בכל דרך אחרת, נכסי דניידי ונכסי דלא ניידי, הדרושים לעמותה וכן לשעבד או להעביר זכויות הדרושים לעמותה לצורך מטרותיה. לקבוע ולגבות מיסים והיטלים אחרים על חבריה לשם כיסוי הוצאותיה של העמותה ולמימוש מטרותיה. לקבל מתנות, תרומות, הענקות, עיזבונות, תמיכות וכדו' למטרות שהעמותה תמצא לנכון. נכסי והכנסות העמותה משמשים אך ורק למטרותיה וחלוקת רווחים או טובות הנאה בין חבריה אסורה בהחלט. לטפל בכל עניין אשר האסיפה הכללית של העמותה תמצא לנכון. לעשות כל פעולה וכל דבר הקשור למטרות העמותה או שלדעת העמותה יהיה בו משום קידום ענייניה, הכל לפי שהעמותה תמצא למועיל ולנכון. 5. חברות: קבלת חברים: א. מייסדי העמותה הנם חברים בה מיום רישום העמותה בפנקס העמותות. ב. אדם החפץ להיות חבר העמותה יגיש לוועד המנהל בקשה ויתחייב בזו הלשון: "אני (שם, מען, מס' זהות, כתובת דוא"ל וטלפון) מבקש להיות חבר בעמותה (שם העמותה).מטרות העמותה ותקנונה ידועים לי. אם אתקבל כחבר בה, אני מתחייב לקיים את הוראות התקנון ואת החלטות האסיפה הכללית של העמותה". הבקשה תהיה מלווה במילוי שאלון בכתב, אשר יועבר לכל החפץ להצטרף לעמותה. נוסח השאלון ייקבע על ידי הוועד המנהל. ג. החלטה בדבר קבלת המבקש כחבר העמותה, או אי קבלתו, נתונה בידי הוועד המנהל: סרב הוועד המנהל לקבל את המבקש, רשאי הוא לערער על הסירוב לפני האספה הכללית הקרובה. מספר חברי העמותה הוא בלתי מוגבל. כחברי עמותה יתקבלו מנצחים, חברי מקהלות, חברי חבורות זמר, ו/או כל מי שמשתייך לאחת מן ההשתייכויות כדלקמן: מדריכים ומורים העוסקים בתחומי המקהלות ו/או חבורות הזמר מלחינים, מעבדים העוסקים בפעילויות בתחום המקהלות ו/או חבורות הזמר יחידים המעוניינים בהשתתפות בפעילות ו/או עידוד המוסיקה הקולית לסוגיה. אגודות ומוסדות הקשורים בפעילות תרבותית-אומנותית בכלל ופעילות מוסיקלית בפרט. יחידים המעוניינים בקידום תרבות השירה המקהלתית בישראל. 6. זכויות וחובות החבר חבר עמותה שמשלם דמי חבר כיחיד, וכן נציג של מקהלה או חבורת זמר, כמפורט להלן, זכאי להשתתף ולהצביע בכל אסיפה כללית של העמותה ויהיה לו קול אחד בכל הצבעה. לכל מקהלה או חבורת זמר זכות הצבעה של קול אחד בלבד. הנציג של כל אחד מן הגופים הללו יבחר על ידי אותו גוף וייחשב לנציגו הרשמי של הגוף. בכל מקרה חייב הגוף לקיים הצבעה חוקית לבחירתו של הנציג. חבר עמותה יכול לבחור ולהיבחר לוועד המנהל או לוועדת הביקורת של העמותה. חבר עמותה זכאי להשתתף בפעולות העמותה וליהנות משירותיה. הוועד המנהל, באישור האסיפה הכללית, רשאי לקבוע את גובה דמי החבר של חברי המקהלה ו/או חבורת הזמר ו/או דמי חבר שנתיים, שתשלומם יהיה חובה עליהם. פקיעת החברות בעמותה אינה פוטרת מסילוק התשלומים אשר הגיעו לעמותה מן החבר ערב פקיעת חברותו בעד התקופה שעד לפקיעת חברותו. מקהלות בתי ספר אשר לא ישלמו דמי חבר יוכלו להשתתף בפעילויות העמותה אך לא יהיו רשאים להשתתף בהצבעות 8. פקיעת החברות א. החברות בעמותה פוקעת: 1. במות החבר ובחבר שהוא תאגיד – בגמר פירוקו. 2. בפרישה מן העמותה, הודעת פרישה בכתב תינתן לוועד המנהל שלושים יום מראש. 3. בהוצאת החבר מן העמותה. ב. האסיפה הכללית של העמותה רשאית, לפי הצעת הוועד המנהל, להחליט על הוצאת חבר מן העמותה מאחד מהטעמים הבאים: 1. החבר לא שילם לעמותה את המגיע ממנו. 2. החבר לא קיים את הוראות התקנון או החלטה של האסיפה הכללית. 3. החבר פועל בניגוד למטרות העמותה. 4. החבר הורשע בשל עבירה שיש עמה קלון. ג. לא יציע הוועד המנהל לאסיפה הכללית להוציא חבר מן העמותה אלא לאחר שנתן לו הזדמנות נאותה להשמיע טענותיו לפניו ולא יציע מארבע הטעמים המוזכרים בתקנון למעלה, אלא לאחר שהתרה בחבר ונתן לו זמן סביר לתיקון המעוות. מוסדות העמותה: 8,א האסיפה הכללית: הזמנה, דרישה, התראה ו/או כל הודעה אחרת של העמותה לחבר יינתנו לו בדואר אלקטרוני המעודכן בפנקס החברים. לפי בקשת החבר, בכתב, תשנה העמותה את פרטיו הרשומים בפנקס החברים. יומה, שעתה ומיקומה של האסיפה הכללית ייקבעו בידי הוועד המנהל. האסיפה הכללית תכונס ע"י הוועד המנהל, בהזמנה שתינתן לכל חבר לפחות חודש ימים מראש ותציין יום, שעה, מקום וסדר יום לאסיפה. אסיפה כללית רגילה תשמע דינים וחשבונות על פעולות וועדת הביקורת, תדון בהם ובדין וחשבון הכספי שהגיש לה הוועד המנהל, תחליט על אישורם ותבחר בוועד המנהל ובוועדת הביקורת. אסיפה כללית לא תיפתח אם לא נכחו לפחות רבע ממספר חברי העמותה הזכאים להצביע, במקרה כזה תדחה פתיחת הישיבה ב – 30 דקות. לאחר דחייה זו תתקיים הישיבה בכל מספר של חברים ותהיה רשאית להמשיך בדיוניה ולקבל החלטות. האסיפה הכללית תבחר, מבין חברי העמותה, יושב ראש ומזכיר לאסיפה. החלטות האסיפה הכללית יתקבלו ברוב קולות של המצביעים, זולת אם החוק או תקנון זה דרשו רוב אחר לקבלתן. היו הקולות שקולים, רשאי יושב ראש האסיפה להכריע. מזכיר האסיפה הכללית ינהל את פרוטוקול האסיפה. 8, ב הוועד המנהל – הוועד : מספר חברי הוועד המנהל ייקבע בהחלטת האסיפה הכללית ולא יהיה פחות מתשעה חברים. הרכב ה הוועד המנהל יהיה כדלקמן: מנצחים- 5 זמרים- 4 נציגי ציבור – 3 הוועד המנהל יבחר, על פי שיקול דעתו, יושב ראש, מבין חבריו. ליו"ר יהיה ממלא מקום אחד, שיבחר ע"י הוועד המנהל. באם לא יתקיימו התנאים הנזכרים לעיל, ככל שהדבר נוגע להרכב הוועד המנהל, יפעל הוועד המנהל במתכונת חסרה, עד למועד האסיפה הכללית הקרובה, שתבחר את הנציגים החסרים, בהתאם לקטגוריה המתאימה. אם גם באסיפה זאת לא יבחרו מועמדים בכמות הנחוצה, הוועד המנהל יפעל במתכונת חסרה עד לאסיפה הבאה. תקופת הכהונה: הוועד המנהל יכהן ממועד היבחרו באסיפה הכללית למשך שנתיים ימים. חבר הוועד המנהל היוצא יכול להיבחר לוועד המנהל החדש. חבר הוועד המנהל רשאי להתפטר בכל עת מכהונתו על ידי הודעה בכתב לוועד המנהל. חבר הוועד המנהל יחדל לכהן אם הוכרז פסול דין או פושט רגל. השלמת הוועד המנהל: נתפנה מקומו של חבר וועד המנהל, רשאים הנותרים או הנותר למנות חבר אחר של העמותה, ממגזר ממנו הגיע החבר הפורש, לכהן כחבר הוועד המנהל עד לאסיפה הכללית הקרובה. עד למינוי כזה רשאים הנותרים להמשיך לפעול כדירקטוריון. מינוי כאמור חייב להיות מוגש לאישורה של האסיפה הכללית הקרובה. חבר הוועד המנהל שנבצר ממנו למלא תפקידיו, רשאים הנותרים או הנותר למנות חבר העמותה למלא מקומו עד שישוב למלא תפקידיו. ישיבות הוועד המנהל: הוועד המנהל יתכנס לפחות 4 פעמים בשנה. הוועד המנהל רשאי להסדיר בעצמו את מועד ישיבותיו, ההזמנה להן, המניין הדרוש בהן ודרך ניהולן. תפקידי הוועד המנהל: הוועד המנהל יקבל החלטות בדבר מדיניות ותקציב העמותה ויהא אחראי למעקב אחר ביצוען. וועדות משנה: הוועד המנהל רשאי להאציל מסמכויותיו רק לוועדות משנה המורכבות מחברי וועד בלבד. בהשתמשה בסמכויות שהועברו אליה באופן כזה, חייבת כל וועדה כזאת לנהוג בהתאם לכללים שיקבעו על ידי הוועד המנהל . כל מסירת סמכויות כנ"ל לרבות ההחלטה בדבר הרכב הוועדה תהא בת תוקף אך ורק אם אושרה על ידי רוב חברי הוועד המנהל. החלטות: החלטות הוועד המנהל יתקבלו ברוב קולות המצביעים, היו הקולות שקולים, לא התקבלה ההצעה. החלטת כל חברי הוועד המנהל פה אחד יכול שתתקבל גם שלא בישיבת הוועד המנהל. פרוטוקול: הוועד המנהל ינהל פרוטוקול מישיבותיו והחלטותיו. זכות הייצוג: הוועד המנהל יסמיך שני מורשי חתימה או יותר מבין חברי הוועד, חברי העמותה, נושאי משרה בעמותה או עובדי העמותה, למעט חברי ועדת הביקורת. מורשי החתימה רשאים לחתום בכל נושא כספי, בנקים, צ'קים, הסכמים, חוזים, מסמכים, תמיכות ובכל תחום הדורש חתימה בהתקשרות עם גורמים אחרים. 8, ג הנהלת העמותה ניהולה השוטף של העמותה, יתבצע על ידי הנהלת העמותה בראשות המנכ"ל, שתהייה כפופה לוועד המנהל ותיישם את החלטותיו. חברי ההנהלה המצומצמת יהיו המנכ"ל וראשי מחלקות שונות כגון: הפקה, שווק, מוסיקה והעשרה וההון האנושי. בהנהלה המורחבת יהיו שותפים גם ראשי המחוזות. מנכ"ל מנכ"ל העמותה יבחר ע"י הוועד המנהל, יהיה כפוף לוועד המנהל ויפעל בתאום עם מוסדות העמותה. מנכ"ל העמותה יהיה אחראי על יישום מדיניות והחלטות הוועד המנהל. עליו האחריות הכוללת על: ייזום, וביצוע של כלל פעילות העמותה, ניהול העובדים והמתנדבים, ביצוע תקציב העמותה, ייזום וקיום קשרי חוץ ממשלתיים וציבוריים. המנכ"ל ייצג את העמותה בפני מוסדות השלטון או ארגונים הקשורים לעמותה ו/או תחומי פעילותה. המנכ"ל ייתן אחת לרבעון דין וחשבון על תפקוד הנהלת העמותה ופעילותה, לוועד המנהל. המנכ"ל יכין תכניות עבודה והצעת תקציב, לכל שנה תקציבית, ויגיש אותה לאישור הוועד המנהל. המנכ"ל יכין דו"ח שנתי ויציג אותו לוועד המנהל בסיומה של שנת התקציב. הדו"ח השנתי יכלול דו"ח על פעילויות העמותה ודו"ח כספי. המנכ"ל יבחר את בעלי התפקידים הנוספים בעמותה, בכפוף לנהלים. תנאי העסקתו של המנכ"ל, לרבות גובה התגמול ותנאי העבודה ייקבעו על ידי הוועד המנהל ויעוגנו בהסכם עבודה שיחתם עם המנכ"ל. מנהלי המחוזות מנהלי המחוזות יבחרו ע"י המנכ"ל ויהיו כפופים לו. מנהלי המחוזות יהיו מתנדבים. מנהלי המחוזות ייצגו את הנהלת העמותה בשטח. באחריותם ייזום וביצוע פעילות אזורית. יצירה וניצול של קשרים קיימים עם השלטון המקומי באזור וגופים רלוונטיים אחרים. קשר עם חבורות ומנצחים באזור. גזבר הגזבר יבחר ע"י ההנהלה ויהיה כפוף למנכ"ל. הגזבר יהיה מתנדב. הגזבר יהיה אחראי על ניהול מערכת הכספים של מילה. הגזבר ינהל את משק הכספים בהתאם לתקציב המאושר. הגזבר יטפל בגביית דמי חבר, יטפל במימון פעולות, יבצע תשלומים, יגבה חובות ויבצע תשלומים בהתאם להוראות הוועד המנהל והמנכ"ל. הגזבר אחראי לניהול תקין של ספרי החשבונות של העמותה. וועדת הביקורת: הוראת התקנון בנוגע לוועד המנהל העמותה, המצוינות לעיל, יחולו בשינויים המחויבים, גם על וועדת הביקורת. גופים בניהול העמותה: העמותה תקים פורום למנצחי מקהלות, שיורכב ממנצחי מקהלות החפצים להיות חברים בו. העמותה תקים ותנהל מרכז למוסיקה מקהלתית, במסגרתו תפעל ספריה של רפרטואר מקהלתי וחומר נלווה, הקשור למוסיקה רב קולית, רישום יצירות, הדפסה וצילום של חומר מקהלתי מקורי ועיבודים שונים. סניפים: העמותה רשאית, בהחלטת האסיפה הכללית, להקים סניפים ולקבוע את ארגונם ואת סדרי ניהול ענייניהם. נכסי העמותה נכסי העמותה והכנסותיה משמשים אך ורק למטרותיה. חלוקת רווחים או טובת הנאה בכל צורה שהיא בין חבריה, אסורה הקמת סניפים העמותה רשאית בהחלטת האסיפה הכללית להקים סניפים ולקבוע את ארגונם ואת סדרי ניהול ענייניהם 9. פירוק העמותה: העמותה רשאית באסיפה כללית להחליט על פירוק מרצון ועל מינוי מפרק או מפרקים לעמותה. ההחלטה על פירוק העמותה טעונה רוב של 2/3 מן המצביעים באסיפה, שעליה ניתנה לכל חברי העמותה הודעה של 21 ימים מראש. פורקה העמותה ולאחר שנפרעו חובותיה במלואם נשארו נכסים, יועברו נכסים אלה לעמותה אחרת בעלת מטרות דומות על פי החלטת האסיפה הכללית, והעונה להגדרה "מוסד ציבורי" כשמשמעותו בסעיף 9(2) לפקודת מס הכנסה, ולא יחולקו בין חבריה. התקנון מאפשר להרחיבו ולשנות סעיפים בו על פי חוק העמותות וכן על פי רצון החברים. כל הצעה לתוספת או לשינוי בסעיף מסעיפי התקנון חייב להגיע, בכתב, אל הנהלת העמותה חודש לפני האסיפה הבאה, בה תדון ההצעה.
